What documents do you need?
To submit the financial statements, you need four documents in total. They are, in order:
I. Resolution on the distribution of profit/covering of loss (it must be signed by the shareholders) – scanned as a PDF.
II. Resolution approving the financial statements (also signed by the shareholders) – scanned as a PDF.
III. Annual financial statements – in XML format. Each management board member must sign this document in turn using a trusted profile. Only once it has all the signatures can the file be imported into the e-KRS portal to submit the duly signed annual financial statements.
IV. Management board report – in XML format, signed with a trusted profile by each management board member as above. If your accountant did not give you this report, it means that your entity is exempt from preparing it and you do not submit it to KRS.
Instructions for submitting the financial statements.
1. First, sign the two XML documents (financial statements and the management board activity report) using a trusted profile. Each management board member should electronically sign the documents.
2. Then sign in to e-KRS – go HERE.
3. Select “Add notification”.
4. Enter the KRS number and click “Search”.
5. Scroll to the very bottom of the screen and click “Next”.
6. Complete all fields according to the instructions in the image below:
1) Enter a working name for the submission: “Financial statements year”.
2) Select the period for which you are filing the statements – usually the previous calendar year. If you started trading during the financial year or use a combined financial year, the period may be shorter or longer as appropriate.
3) Select the type of filing, that is, the appropriate form of report. The most common correct choice is the one shown in the image: “Submission of financial statements and other financial documents”. The choice may differ if the report concerns a group of companies whose results are consolidated; in that case, select option 2.
4) Add the four signed documents as shown in the images in steps 7 and 8 below.
5) Click “Next”.
7. Instructions for adding the complete set of annual financial statement documents.
1) Enter the date on which the resolution approving the financial statements was signed. This is the date on the paper resolution approving the financial statements received from your accounting office.
2) Add the file according to the instructions in step 8.
3. Click “Save”.
8. At this point, after entering the date, an option to select the document type will appear. Choose the appropriate type for the file you intend to add. Add each of the four documents marked in the image one by one in this way.
9. Save and proceed.
10. You are taken to step three: click “Save” and then “Next”.
