What is a contract of mandate?
A contract of mandate is one of the most common civil-law contracts in Poland. It's concluded between a Client and a Contractor and involves performing specific activities for the Client.
The rules for concluding it are set out in Articles 734–751 of the Polish Civil Code. Unlike an employment contract, a contract of mandate does not create an employment relationship, which means greater flexibility in setting the terms of cooperation.
The key features of a contract of mandate:
- considerable freedom in setting the terms of the agreement,
- the ability to terminate the agreement at any time (unless the parties agree otherwise),
- no mandatory sickness insurance contribution (it's voluntary),
- no ZUS (social insurance) contributions for students under 26,
- flexible forms of cooperation and no strict subordination,
- the option to entrust performance of the mandate to a third party (if the agreement allows it),
- lower employment costs for the Client compared with an employment contract.
A contract of mandate is often used in situations where the cooperation is casual, seasonal, or project-based.
When can a contract of mandate be concluded?
A contract of mandate is what's known as a "contract of diligence." This means the Contractor undertakes to perform specific activities with due care, but does not guarantee a specific result.
This is a key difference from a contract for specific work, where what matters is the final outcome.
A contract of mandate works particularly well for recurring activities, such as:
- administrative and office work,
- telemarketing and customer service,
- cleaning and janitorial work,
- childcare or eldercare,
- seasonal work (e.g., fruit picking),
- outsourced services (IT, accounting, marketing),
- minor technical and repair work.
Thanks to its flexibility, a contract of mandate is often used by both companies and private individuals.
How does a contract of mandate differ from an employment contract?
A contract of mandate differs significantly from an employment contract — mainly in the nature of the cooperation and the parties' obligations.
The key differences:
- no relationship of subordination (the Contractor acts more independently),
- no obligation to work at a specific place and time,
- no typical employee benefits (e.g., paid leave),
- the option to entrust performance of the mandate to a third party,
- greater flexibility in setting the terms of cooperation.
It's worth remembering, though, that a contract of mandate cannot be used in place of an employment contract if the conditions of an employment relationship are met (e.g., fixed working hours, subordination to the employer, continuous performance of duties).
Under the Polish Labour Code, in such a situation an employment contract must be concluded — not a civil-law contract.
